Rule 2
Definition
In these Regulations, unless the context or the context otherwise requires,–
(a) “Act” means the Securities Exchange Act, 2040.
(b) "Broker" means a securities dealer who has received a certificate to deal in securities as per clause (a) of sub-rule (1) of rule 29.
(c) "Market maker" means a securities dealer who has received a certificate to deal in securities as per clause (b) of sub-rule (1) of rule 29.
(d) "Securities dealer (dealer)" means a securities dealer who has received a certificate to deal in securities as per clause (c) of sub-rule (1) of rule 29.
(d1) "Issuance and sales manager" means a securities dealer who has received a certificate to deal in securities in accordance with clause (d) of sub-rule (1) of rule 29.
(e) "Underwriting" shall mean the act of undertaking to purchase all or part of the securities issued by the public or circular method if they remain unsold.
(f) "Inside news" means information, news details or statistics affecting the volume or value of securities transactions that are not publicly published.
(g) "Founding Shareholder" means a person or an organization who agrees to take at least one share of the company and signs the memorandum and articles of association as a founder at the time of company registration.
