(1) The written notice of the meeting of the board and the agenda to be discussed at the meeting must be given to each director forty-eight hours before the meeting.
(2) During the meeting, the board will discuss only the matters on the agenda.
(3) If a director requests to discuss a matter outside the agenda, it can be discussed with the consent of all the directors present.
