Section 5
Work, Duties and Powers of the Board
The work, duties and powers of the Board shall be as follows:- (a) To advise the Government of Nepal on matters related to the development of the capital market as required, (b) To register the securities of an organized organization established to be able to issue securities to the public. To do, (c) regularize and organize the issuance, transfer, sale and exchange of registered securities, (d) to allow the organized organization that wants to operate the securities market to operate the securities market subject to this Act or the rules and regulations made under this Act, e) To regulate and monitor the operations of the securities market, (f) To see whether the securities market is operating in accordance with this Act or the rules and regulations made under this Act, and if found not to, to suspend or revoke the license of the securities market, (g) To conduct securities business To issue a license to a company or organization to conduct securities business subject to this Act or the rules and regulations made under this Act, (h) Regulating and monitoring the activities of securities traders, (i) Completing the prescribed procedures and classifying securities traders according to their functions and capabilities. (j) Approving the operation of collective investment plans and investment fund programs and regulating and monitoring them, (k) Approving the regulations of the securities market and securities business-related organizations involved in securities transactions and the development of the capital market and investment in securities To make necessary arrangements regarding the protection of the interests of the investors, to make necessary amendments in the regulations of the securities market and the organizations involved in the securities business, (l) To organize the clearing of accounts related to the securities transactions, (d) When the securities businessmen engage in securities business, this Act or has maintained the conduct as specified in the rules, regulations and guidelines made under this Act, and if such conduct is not found, suspending or revoking the license to conduct securities business, (d) Promoting the securities marketTo make necessary arrangements to regulate the quantity and manner of trading of securities for the purposes of money, promotion and clean operation, (n) To protect the interests of securities investors, to make necessary arrangements to prevent insider trading of securities or other offenses related to securities transactions as mentioned in paragraph-9. , (h) To review the financial statements submitted by securities issuing organizations and securities traders, and to give necessary instructions to related organizations, (h) To control the management of the company by purchasing shares in one lump sum or several times. and making it transparent, (d) coordinating with related agencies to supervise and regulate matters related to securities or companies, (d) doing other necessary work related to securities and capital market development.
