4. Amendment to Section 4 of the Principal Act: In Section 4 of the Principal Act,-

(1) Sub-section 2,-

(a) Clause (a) is deleted.

( b) In place of clause (f), the following clause (f) is placed:- “(f) If the founder is a Nepali citizen, a copy of the citizenship certificate or national identity card and if a company is the founder, a certified copy of the certificate of incorporation of such company, the main document related to the establishment of the company and the certificate of the decision of the company regarding the establishment of the company Copy," (c) instead of clause (g), the following clause (g) has been placed:-

"(g) If the founder is a foreign citizen, a certified copy of the document proving his/her passport and which country he/she is a citizen of and if the founder is a foreign company. A certified copy of the certificate of establishment of the company, the main documents related to the establishment of the company and a certified copy of the decision of the foreign company regarding the establishment of the company in Nepal. (h) In case any international organization or body is founded in accordance with the agreement with the Government of Nepal or the permission of the Government of Nepal, a copy of the founding document, agreement or permission of such organization and the decision of such organization or body regarding investment in Nepal," (e) Clause (j) has been removed.< /p>

(f) The following clause (j) has been added after clause (j):- “(j) The person or organization establishing the company is not in the black list according to the law and there is no outstanding tax to be paid according to the law until the previous financial year and In accordance with this Act, the written declaration that the penalty amount is not due," (2) instead of sub-section (3), the following sub-section (3) is inserted:- "(3) Notwithstanding anything contained in clause (b) of sub-section (2), a single shareholder A person who wishes to establish a company or any other private company without a unanimous agreement may apply for registration of the company in the prescribed format by agreeing to accept the regulations of the prescribed format: (a) Name of the company (b) Address of the registered office of the company (c) Implementation by the company purpose (d)Officers and paid-up capital of the company (e) The matter of whether or not to hold a general meeting of the company (f) The name of the founder and director of the company" (3) After sub-section (3) the following sub-section (4) has been added:- "(4) If the petition as per sub-section (3) is requested If the company is registered according to this, the regulations accepted as such will be the regulations of such company."
