In section 77 of the principal Act,-

(1) in sub-section (6) the word “dividend” shall be substituted for the word “profit”. .

(2) After sub-section (6) the following sub-sections (7) and (8) are added: “(7) Notwithstanding anything contained in sub-section (6), the auditor shall state in his audit report any financial impropriety. (8) Notwithstanding anything else written in this section, if the auditor has given a disclaimer report (disclaimer report) in relation to a company or distributed compensation Such a company cannot declare dividend if it has given its opinion and conclusion along with the reason that it should not be done."
