Section 10
Formation of Board of Directors and term of Directors
(1) Directors of every corporation
(Committee hereinafter referred to as "Committee") shall consist of five directors as follows:-
(a) The General Manager of the Institute,
(b) one person elected by the general meeting from amongst the non-government share holders,
(c) One person nominated by the Government of Nepal for government shares (d) One person nominated by the Government of Nepal from among the persons of repute in the field related to the scope of work of the institute, and
(e) One person elected from among the shareholder employees working in the company.
(2) Unless there is an arrangement to be elected by the general meeting or unless there is an arrangement to be elected from among the employees of the shareholders under clause (e) of sub-section (1), the directors elected by the shareholders will also be nominated by the Government of Nepal.
(3) The chairman of the committee will be appointed by the Government of Nepal and if the chairman is not appointed, the general manager of the institute will chair the committee.
(3a) The term of office of directors elected or nominated under clauses (b), (c), (d), and (e) shall be four years and after the expiry of the term of office, they may be re-elected or nominated.
(4) Notwithstanding anything written in sub-section (3A), the term of office of the director nominated under clauses (c) and (d) of sub-section (1) is not completed, the Government of Nepal may nominate any other person.
(5) Directors nominated by the Government of Nepal will automatically be dismissed after the director is elected by the general meeting or from the employees of the company and assumes office. However, this sub-section shall not be deemed to prevent a person dismissed in this way from being appointed or nominated as a director.
