(1) There will be a meeting as the highest body of the institution.
(2) The composition of the Assembly shall be as follows:-
(a) Chancellor – Chairman
(b) Vice-Chancellor – Vice-President
(c)  … …
(d) Member, National Planning Commission (Looking at Health Sector) – Member
(e) Vice-Chancellor – Member
(f) Two members nominated by the Assembly on the recommendation of the Executive Council from among the Vice-Chancellors of universities and institutions providing higher education related to health sciences. (g) Secretary, Ministry of Health and Population – Member
(h) Secretary, Ministry of Finance – Member
(i) Secretary, Ministry of Education, Science and Technology – Member
(j) Principal – Member
(k) One member nominated by the Assembly from among the Deans (l) Director – Member
(d) ……………….
(d) Chief, Lalitpur Metropolitan Municipality – Member
(n) Two members nominated by the Assembly on the recommendation of the Executive Council from among the heads of hospitals in the countries that have entered into an agreement with the Foundation. (p) Two members including at least one woman nominated by the Executive Council on the recommendation of the Academic Council from amongst the teachers. (th) One person nominated by the Assembly on the recommendation of the Executive Council from among the heads of educational institutions – Member
(d) Chairman, Nepal Health Research Council – Member
(d) Chairman, Nepal Medical Council – Member
(N) Four persons nominated by the Assembly on the recommendation of the Executive Council including at least one woman representing Dalits, tribals/tribals, Madheshi and backward classes - members
(p) One member nominated by the Assembly on the recommendation of the Executive Council from among the donors (f) One member nominated by the Assembly from among the employees working in the establishment (b) Registrar – Member – Secretary
(3) The term of office of the nominated members according to sub-section (2) shall be three years.
(4) If the position of a nominated member becomes vacant for any reason, another person will be nominated for the remaining period according to the same procedure as the one that was previously filled.
(5) The meeting procedure of the assembly shall be as prescribed.
