: (1) The meeting of the Committee shall be held at the appointed time and place and the procedure of the meeting of the Committee shall be as prescribed. The chairman or in his absence the director chosen by the directors from among themselves for the purpose of that meeting will preside over the meeting of the committee.
(2) If more than the total number of members present in the committee attend the meeting, it shall be considered that the quorum of the committee has been reached and if the quorum is not reached, the meeting shall be adjourned.
(3) All matters shall be decided by the majority of directors who attend and vote at the committee meeting. The presiding director does not normally have the right to vote, but in the event of a tie, he has the casting vote.
