(1) The chairman shall call the meeting of the committee as required. However, it shall be mandatory to call such meeting at least 6 times a year so that the period between any two meetings shall not exceed 3 months. If at least 2 directors make a written request with a list, the chairman must call a meeting according to the request. (3) In the absence of the chairman, the chairman of the committee meeting will be chaired by the director chosen by the directors from among themselves. (4) The committee meeting will not be held without the presence of a majority of the directors. The meeting will be held by the majority and the person presiding can also give a decisive vote. (6) No director may participate in the discussion or vote on any proposal that has his personal interest.
