Section 4
Application for incorporation of company
: (1) According to section 3, the person who wants to establish the company shall apply to the office for approval of the proposed name of the company through electronic means.
(2) If the information is received that the company name has been approved by the office according to subsection (1), the applicant shall upload the following documents electronically to the computer system and submit the application to the office in the prescribed format:-
(a) Articles of Association of the proposed company,
(b) Articles of Association of the Proposed Company,
(c) In case of a public company, if there is any agreement between the founders before the establishment of the company, a copy of such agreement,
(d) In case of a private company, if there is a unanimous agreement, a copy of such agreement,
(e) According to the law, if it is stipulated that prior approval or license of any body should be obtained before registering a company conducting a particular type of business or transaction, such approval or license,
(f) Certified copy of the citizenship certificate if the founder is a Nepali citizen and if the founder is an organized organization, the registration certificate of such organization, the decision of the board of directors regarding the establishment of the company and the main document related to the establishment of such organization,
(g) If a foreign person or company or entity is the founder, the permit obtained in connection with investment or business or transaction in Nepal according to the law,
(h) If a foreign person is the founder, a document certifying which country he is a citizen of (i) If a foreign company or entity is the founder, a certified copy of the certificate of incorporation of such company or entity and the main document related to the establishment.
(3) Notwithstanding anything written in Clause (b) of sub-section (2), there is no need to submit the proposed company's regulations if the founder agrees to accept the format of the regulations prescribed for the establishment of a single shareholder company with only one person as the founder.
(2) If the information is received that the company name has been approved by the office according to subsection (1), the applicant shall upload the following documents electronically to the computer system and submit the application to the office in the prescribed format:-

(b) Articles of Association of the Proposed Company,
(c) In case of a public company, if there is any agreement between the founders before the establishment of the company, a copy of such agreement,
(d) In case of a private company, if there is a unanimous agreement, a copy of such agreement,
