Section 185
Appointment of Company Secretary
(1) A company with a paid-up capital of one crore rupees or more shall appoint a Nepali citizen who meets the qualifications mentioned in sub-section (2) to the position of Company Secretary.
(2) Working in the relevant field for at least two years after receiving the professional certificate of company secretary from a domestic or foreign body authorized to issue professional certificate related to company secretary in accordance with the prevailing law or having obtained at least a bachelor's degree in law, management, commerce or economics for at least three years in the related field or A Nepali citizen who has worked in the company management field can be appointed as company secretary. But in the case of company secretary who is in office at the time of commencement of this Act, this provision shall not be applicable for three years from the date of commencement of this Act.
(3) The director of the related company cannot be appointed as the secretary of such company.
(4) No person can be appointed as company secretary of more than one company at a time. However, this provision will not prevent the company secretary of a main company from being appointed as the company secretary of a subsidiary company of such company.
(5) In accordance with this Act, prevailing laws or regulations, any work shall be done by or through the company secretary, if the position of company secretary is vacant in that company for any reason, or if the incumbent company secretary fails to do so or shows his inability to do so, the board of directors shall be empowered to do such work as prescribed by this law. Any employee of the company who has reached the qualification can work as company secretary.
