Section 64
Shares not to be issued or sold at a discount
: (1) A company shall not issue or sell its shares at a discount.
(2) Notwithstanding anything written in sub-section (1), the general meeting of the company may, by passing a special resolution, issue or sell shares at a discount not less than the percentage specified in the same resolution in the following cases:-
(a) When issuing or selling shares in accordance with the scheme of restructuring the capital of the company,
(b) When issuing or selling shares according to the plan to convert the loan taken by the company into shares according to the agreement of the creditors,
(c) When issuing or issuing shares under the Employee Share Scheme,
(d) When issuing shares in other cases approved by the office.
