Section 173
<br> which can be converted into a company owned by the Nepalese government
If the government of Nepal wishes to convert a public institute or development committee established in accordance with the existing law with full or partial ownership of the Government of Nepal into a company according to the Development Committee Act, 2013, such institute or committee may be converted into a public company and established according to this Act.
(2) Notwithstanding anything else written in this Act, there shall be no restriction on the number of founder shareholders while establishing a company under sub-section (1).
(3) The movable and immovable assets of the corporation or committee as per sub-section (1) may be converted into share capital of the company to be established as per sub-section (1) and if it is so converted, all the rights and liabilities of such corporation or committee shall be transferred to such company, unless otherwise provided in the regulations.
(4) Notwithstanding anything else written in this Act, the number of directors of a company incorporated under this section shall be as specified in the company's regulations and such director shall not be required to take shares to be a director.
(5) The company according to this section may sell its shares directly to the private sector through the securities market or through negotiations.
