(1) A National Payments Board is constituted with the following Chairman and Members:-
(a) Governor of the Bank - Chairman (b) Secretary to the Ministry of Finance - Member (c) One expert who has reached the prescribed qualifications nominated by the Government of Nepal - Member (d) Controller General of Accounts -Member (e) Deputy Governor looking after the relevant area of ​​the Bank - Member (f) Nepal Telecom PrChairman of the Authority (g)     Executive Director-Member-Secretary
of Payment System Department of the Bank (2) The term of office of the member under clause (c) of sub-section (1) shall be two years.
(3) Notwithstanding anything written in sub-section (2), if the member nominated as per clause (c) of sub-section (1) does not perform according to his position, the Government of Nepal may remove him at any time. But before such removal, he should be given a reasonable opportunity to submit an explanation.
(4) The meeting of the Board shall be held at the date, time and place specified by the Chairman as required.
(5) At least twenty-four hours before the meeting of the Board, the subject to be discussed in the meeting shall be made available to all members by the Secretary.
(6) If at least ninety one percent of the members are present, the quorum for the board meeting will be considered.
(7) The Chairman shall preside over the meeting and in the absence of the Chairman, the Secretary of the Ministry of Finance shall preside over the meeting.
(8) The decision of the majority in the meeting will be valid and in case of equality of votes, the person presiding over the meeting will give the deciding vote.
(9) If the board deems it necessary, it may invite experts or other officers related to payment, clearing or settlement to the meeting of the board.
(10) The decision of the meeting shall be recorded in a separate book and such book shall be signed by the person presiding over the meeting and all the members present.
(11) The decision of the Board shall be verified by the member of the Board...Secretary.
(12) The secretariat of the board shall be in the department of the bank designated by the bank.
(13) Other procedures related to the meeting of the Board shall be as determined by the Board itself.
