Section 127
Appointment of liquidator and auditor
(1) When passing a resolution to liquidate a company in accordance with section 126, one liquidator shall be appointed to complete the liquidation-related proceedings and the remuneration to be received by such liquidator shall be fixed.
(2) When appointing a liquidator in accordance with sub-section (1), it shall be done by a businessperson who has obtained a license under the prevailing law related to marriage.
(3) The company shall give notice thereof to the office within seven days from the date of appointing the liquidator as per sub-section (2).
(4) After the liquidator is appointed in accordance with sub-section (2), the directors and officers of the company will be released from their positions and the liquidator will use all the rights used by the directors and officers of the company related to the operation and management of the company.
(5) After the liquidator starts operating and managing the company in accordance with sub-section (4), the services of the employees of such company shall automatically terminate. But the liquidator may retain or appoint such staff as may be necessary for his assistance and assistance.
(6) The liquidator appointed in accordance with this section shall complete the liquidation of the company within the time period specified at the time of appointment. However, if the work of canceling due to reasons cannot be completed within the prescribed time period, the deadline can be extended by following the procedure of appointment.
(7) When a liquidator is appointed in accordance with sub-section (1), an auditor shall also be appointed under the provisions of this Act.
(8) If the liquidator appointed in accordance with this Act acts contrary to the code of conduct of businessmen, the interests of the company or other prevailing laws, he shall be removed from the same process by which the liquidator was appointed. But,
(1) Violation of the Code of Conduct of Damasahi Businessmen shall take the approval of the body that enforces such Code.
(2) He should be given an opportunity to present his justification before removing him.
(9) If the liquidator appointed in accordance with this Act does not continue in that position for any reason, another liquidator shall be appointed by the same process by which the liquidator was appointed.
(10) No person can be liquidator of more than one company at the same time.
