Section 77
Matters to be presented and decided at the annual general meeting
: (1) In the annual general meeting of every public company, the directors shall submit the audited annual financial statement, the auditor's report and the director's report.
(2) The shareholder or shareholders representing at least five percent of the total number of votes may, if they wish, submit an application to the directors prior to the issuance of the notice under sub-section (2) of section 67 and ask them to submit any matter for discussion and decision at the annual general meeting.
(3) At least twenty-one days before the Annual General Meeting, every public company shall publish a notice in a national daily newspaper for the shareholders to inspect and receive the annual financial statement, director's report and auditor's report in accordance with Section 84.
(4) According to the details and report requirements mentioned in sub-section (3), information can also be transmitted through electronic means of communication.
(5) If any shareholder requests the auditor's report, annual financial statement and director's report mentioned in sub-section (3), the company shall provide such report or details to such shareholder.
(6) Except as otherwise provided in this Act, to submit proposals in the annual general meeting of the company regarding the profit to be distributed to the shareholders, the appointment and remuneration of the director, the appointment of the auditor and his remuneration or other matters provided for in this Act or the regulations to be decided by the general meeting of the company. Can be done. But while deciding on the profit to be distributed to the shareholders, it cannot be decided that the rate of such profit is higher than the rate determined by the Board of Directors.
