Section 44
Refusal to register shares or debentures
: (1) Notwithstanding anything written in section 42 or 43, in the following cases, the company may refuse to indicate in the register that the shares are held as mortgagee or cancel the filing of shares or debentures in case of sale or purchase:-
(a) If the demand amount for shares is not paid,
(b) If the cancellation of the filing is against the company's regulations or the agreement between the shareholders,
(c) If the application is not submitted with the transfer fee.
(2) According to sub-section (1), if the company refuses to indicate the existence of a share or debenture mortgagee in the register book or to cancel the filing of shares or debentures, the company shall give notice thereof to both the share or debenture mortgagor or the buyer and seller within fifteen days from the date of the application.
