Section 20
General Assembly
(1) A general meeting (hereinafter referred to as annual general meeting) shall be held at the head office of the committee within 45 days of the closing of the annual accounts of the committee every year after 10 percent of the shares worth 10 percent of the share capital issued by the committee for sale to the general public have been sold to the general public. A special general meeting of the committee will be held at any other time if at least 50 young shareholders make a written request with their signatures, or if at least fifty young shareholders make a written request with their signatures to buy shares worth at least ten sections of the share capital issued by the committee for sale to the general public.
(2) The quorum of the general meeting shall be deemed to be complete if the shareholders who have taken at least one-fourth of the total shares issued by the committee for sale to the general public or their representatives are present.
(3) The shareholders present at the annual general meeting will discuss the committee's annual account and profit and loss account, the auditor's report on that and the board's report on the committee's work throughout the year. Those matters will be submitted to the Government of Nepal until the annual general meeting can be arranged. (4) Each one percent share of the total capital of the committee is counted as one vote, and the number of shareholders who have purchased the same percentage of shares will have the right to vote. But,
(a) He will not be allowed to vote for the purchase of shares less than one percent of the total capital of the committee (b) If the share percentage is more than one unit, only the vote equal to the lower unit can be given until the upper unit is reached.
(4a) A shareholder shall not be entitled to vote at the Annual General Meeting without attending the meeting in person or without sending a representative.
(5) The decision of the meeting shall be made on the basis of the simple majority of the shareholders and representatives present.
