Section 9
Directors
: (1) There will be eight directors in the Board of Directors. Those directors will be elected by the general meeting and a person chosen by the elected directors from among themselves will be the chairman of the board of directors.
(2) In proportion to the shares held by the Government of Nepal or any organized organization, the Government of Nepal or such organization may nominate directors and the rights and obligations of such nominated directors shall be the same as the elected directors.
(3) Notwithstanding anything written in sub-section (1), unless there is a provision for the election of directors by the general meeting, the following members shall be in the board of directors:- "(a) Minister of Energy, Water Resources and Irrigation or a special category employee of the Government of Nepal designated by the Government of Nepal - Chairman
(b) Secretary, Ministry of Power, Water Resources and Irrigation - Member (c) Secretary, Ministry of Finance - Member
(d) One member nominated by the Government of Nepal from among the people involved in industry, commerce or financial sector. (e) One member nominated by the Government of Nepal from among the electricity consumers (f) Two persons nominated by the Government of Nepal from among the non-governmental persons who have gained specialization in the electricity sector - members
(g) Executive Director, Authority – Member – Secretary
(4) The tenure of nominated members of the committee shall be four years. However, if necessary, the Government of Nepal may remove such members before the term of office expires or nominate another person in their place.
(5) The term of office of the directors elected by the general meeting shall be four years and after the expiry of the term of office, they may be re-elected as directors for a maximum of two consecutive times. However, among the eight directors elected for the first time, the tenure of the four directors who were decided by the Gola system will be two years.
(2) In proportion to the shares held by the Government of Nepal or any organized organization, the Government of Nepal or such organization may nominate directors and the rights and obligations of such nominated directors shall be the same as the elected directors.
(3) Notwithstanding anything written in sub-section (1), unless there is a provision for the election of directors by the general meeting, the following members shall be in the board of directors:- "(a) Minister of Energy, Water Resources and Irrigation or a special category employee of the Government of Nepal designated by the Government of Nepal - Chairman
(b) Secretary, Ministry of Power, Water Resources and Irrigation - Member (c) Secretary, Ministry of Finance - Member
(d) One member nominated by the Government of Nepal from among the people involved in industry, commerce or financial sector. (e) One member nominated by the Government of Nepal from among the electricity consumers (f) Two persons nominated by the Government of Nepal from among the non-governmental persons who have gained specialization in the electricity sector - members
(g) Executive Director, Authority – Member – Secretary
(4) The tenure of nominated members of the committee shall be four years. However, if necessary, the Government of Nepal may remove such members before the term of office expires or nominate another person in their place.
(5) The term of office of the directors elected by the general meeting shall be four years and after the expiry of the term of office, they may be re-elected as directors for a maximum of two consecutive times. However, among the eight directors elected for the first time, the tenure of the four directors who were decided by the Gola system will be two years.
